01Service Use

StaySynced is a SaaS middleware platform that provides one-way integration from Concurrent (property management system) to HubSpot (CRM). Users self-onboard and accept these Terms by clicking to accept during registration. No physical signature is required.

02Acceptable Use

You agree to use StaySynced only for lawful purposes and in accordance with these Terms. You must not:

• Use the service for any unlawful, harmful, or fraudulent activity
• Attempt to gain unauthorized access to the service or related systems
• Interfere with or disrupt the integrity or performance of the service
• Reverse engineer, decompile, or disassemble any part of the service

03End-User Licence Agreement (EULA)

Your use of StaySynced is also governed by our End-User Licence Agreement, which is incorporated by reference.

04Intellectual Property

All intellectual property rights in StaySynced and related materials remain the exclusive property of Cloudfox or its licensors.

05Limitation of Liability

To the maximum extent permitted by law, Cloudfox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the service

Our total liability for any claim arising out of or relating to these Terms or the service will not exceed the amount paid by you to Cloudfox for the service in the twelve (12) months preceding the claim.

06Payment and Billing

Subscription fees are billed monthly in advance. Payment processing is handled securely by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.

We reserve the right to change subscription prices. Existing subscribers will be given at least 30 days’ written notice of any price increase before it takes effect. Continued use of the service after the notice period constitutes acceptance of the new price.

07Cancellation

You may cancel your subscription at any time by contacting us at support@cloudfox.it. Cancellation will take effect at the end of your current billing period. No refunds will be provided for any unused portion of a paid billing period.

08Termination

We may suspend or terminate your access to StaySynced at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to the service or other users.

09Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from events, circumstances or causes beyond our reasonable control, including but not limited to failures of telecommunications or internet services, failures of third-party platforms (such as Concurrent, HubSpot, Stripe or our hosting providers), acts of God, fire, flood, pandemic, civil unrest, or government action.

• Assignment: We may assign or transfer our rights and obligations under these Terms to another entity, for example as part of a sale or reorganisation of our business. You may not assign or transfer your rights or obligations without our prior written consent.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
• Waiver: A failure or delay by us in exercising any right under these Terms does not constitute a waiver of that right, and no single or partial exercise of a right prevents any further exercise of it.
• Entire agreement: These Terms, together with the documents they incorporate by reference (including the EULA, Privacy Policy and Data Processing Addendum), constitute the entire agreement between you and Cloudfox relating to the StaySynced service and supersede any prior agreements or understandings.
• No reliance: You acknowledge that you have not relied on any statement, promise or representation not set out in these Terms. This does not limit or exclude any liability for fraud or fraudulent misrepresentation.
• Third-party rights: A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.

11Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12Changes to These Terms

We may update these Terms from time to time. Changes will be posted to this page with an updated effective date. Your continued use of StaySynced after changes are posted constitutes acceptance of the updated Terms.
